Pairus Terms of Service

The Service is provided by Pairus Inc., an Ontario corporation ("Pairus", "we", "us", "our").

2.1 Professional use only. Pairus is designed for professional matchmakers, relationship consultants, and related professionals.

2.2 Age requirement. You must be at least 18 years old to use the Service.

2.3 Authority. If you use the Service on behalf of a company or agency, you represent that you have authority to bind that organization to these Terms.

3.1 Accurate information. You agree to provide accurate information and keep it up to date.

3.2 Security. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

3.3 Suspension. We may suspend or disable accounts that violate these Terms or present security, legal, or operational risk.

4.1 Subscription plans. The Service is offered through subscription plans that may include monthly credits ("Credits") to access specific actions in the Service, such as searches or profile analysis.

4.2 Credit consumption. Credits are consumed when you perform eligible actions. The credits required can vary by action and may change over time.

4.3 Monthly reset; no cash value. Unless otherwise stated, Credits reset monthly at the start of each billing cycle. Unused Credits do not roll over and have no cash value.

4.4 Fees and taxes. Fees are billed in advance on a recurring basis. You are responsible for applicable taxes, duties, or levies, except where we are required to collect them.

4.5 Payment processing. Payments are handled by third-party payment processors. Your payment information is processed under their terms and privacy policies.

4.6 Plan changes. You may upgrade or downgrade your plan. Unless otherwise stated at checkout, changes take effect at the next billing cycle.

4.7 Price changes. We may change pricing or plan features with prior notice. Changes apply prospectively.

5.1 Cancellation. You may cancel at any time. Your plan remains active until the end of the current billing period unless stated otherwise.

5.2 No refunds by default. Fees are non-refundable except where required by applicable law.

You agree not to, and not to enable others to:

6.1 Use the Service for unlawful, harmful, harassing, discriminatory, or abusive purposes.

6.2 Use the Service to send spam, run unsolicited outreach campaigns, or violate anti-spam laws (including Canada's Anti-Spam Legislation).

6.3 Scrape, harvest, bulk-download, or systematically extract data from the Service, or attempt to re-identify individuals in ways that violate law, third-party terms, or privacy expectations.

6.4 Reverse engineer, decompile, disassemble, or attempt to discover the source code, models, or underlying systems of the Service, except where prohibited by law.

6.5 Circumvent rate limits, access controls, security features, or usage restrictions.

6.6 Introduce malware, interfere with the Service, or attempt unauthorized access to accounts, systems, or data.

6.7 Use the Service to make decisions about individuals for employment, credit, insurance, housing, or similar eligibility determinations where regulated. Pairus is not a consumer reporting agency and the Service is not intended to produce consumer reports.

7.1 Sources. The Service may use information from publicly available sources and licensed third-party data providers. Availability and coverage can vary by geography and source.

7.2 Adverse media only. At launch, Pairus Shield focuses on adverse media and open-web signals. It is not a full background check and is not intended to confirm criminal history, identity, or regulatory status.

7.3 No guarantee of completeness or accuracy. Profiles, signals, and outputs may be incomplete, outdated, or inaccurate. You are responsible for evaluating results and applying professional judgment.

7.4 Decision support only. The Service supports professional decision-making. It does not replace your judgment and does not guarantee outcomes.

7.5 Third-party content and links. The Service may surface third-party content or links. We are not responsible for third-party sites, content, or practices.

9.1 Our IP. The Service, including software, design, branding, and documentation, is owned by Pairus or its licensors and is protected by intellectual property laws.

9.2 License to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal professional purposes.

9.3 Your content. You retain ownership of content you submit to the Service ("User Content"). You grant Pairus a worldwide, non-exclusive license to host, process, and use User Content to provide, maintain, secure, and improve the Service.

9.4 Feedback. If you provide suggestions or feedback, you grant us a perpetual right to use it without restriction or compensation.

10.1 Confidential information. Non-public information disclosed by one party to the other that is marked or reasonably understood as confidential is "Confidential Information."

10.2 Protection. Each party will protect the other's Confidential Information using reasonable care and will use it only to perform obligations under these Terms.

10.3 Exclusions. Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed, or rightfully obtained without a duty of confidentiality.

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Pairus disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Pairus does not warrant that the Service will be uninterrupted or error-free, or that outputs will be accurate, complete, or current.

To the maximum extent permitted by law:

12.1 PAIRUS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

12.2 PAIRUS'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO PAIRUS IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14.1 By you. You may stop using the Service and cancel your subscription at any time.

14.2 By us. We may suspend or terminate your access if you violate these Terms, if required by law, or if your use poses risk to the Service, other users, or third parties.

14.3 Effect. Upon termination, your right to use the Service stops. Sections that by their nature should survive will survive, including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

16.1 Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict of law rules.

16.2 Binding arbitration in Toronto. Except for claims that qualify for small claims court or for injunctive relief relating to intellectual property or misuse of the Service, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Toronto, Ontario, Canada, and not in court.

16.3 Arbitration procedure. The arbitration will be conducted in English by a single arbitrator. The arbitrator may award any relief that a court could award, except that the arbitrator may not award relief on a class or representative basis.

16.4 Class action waiver. You and Pairus agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17.1 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Pairus regarding the Service.

17.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 No waiver. Failure to enforce a provision is not a waiver.

17.4 Assignment. You may not assign these Terms without our consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.
